What does a director in investment banking do?

A director or senior vice president in investment banking sits between VP and managing director, runs deals at a high level and starts to win business.

Plate 1 The director's rung. Two flights of three steps stand side by side on one ground, drawn alike. The left flight, at some firms, climbs from vice president to director to managing director; its middle step, the director, is the darkest stone and is marked judged on business won, and a note above names the rung's other titles, senior vice president, executive director and principal, and says the title is not a seat on the board. The right flight, at other firms, has the same first and last steps, but its middle step is hollow and dashed: there vice presidents go straight to managing director.

A director in investment banking is a senior banker one rank below managing director, and the title covers a rung that different firms call director, senior vice president, executive director or principal. Directors run deals at a high level, pitch to clients, and are increasingly judged on the business they bring in rather than the work they execute. Not every firm has the rank; where it exists, it is the last step before the top.

A rank that varies by firm

The standard career table lists four ranks, analyst, associate, vice president and managing director, with a note that “some investment banks also have a Director and/or a Senior Vice President position between Vice President and Managing Director”[1Investment Banks, Hedge Funds, and Private Equity (2017)InvestmentBanks, HedgeFunds, andPrivate EquityStowellAcademic Press · 20173rd ed.Source 1David P. Stowell, Investment Banks, Hedge Funds, and Private Equity, 3rd ed. (Academic Press, 2017), ch. 10: the positions, p. 223; managing directors, pp. 224–225.]. A guide to the industry gives the sequence as director or senior vice president, often followed by executive director, with a few years spent in each, and adds a warning about the word: the title of director or executive director does not mean membership of the firm’s board, which is why the department’s name usually follows it on a business card[2IPO: A Global Guide (2018)IPO: A GlobalGuideEspinasseHong Kong University Press · 20183rd ed.Source 2Philippe Espinasse, IPO: A Global Guide, 3rd ed. (Hong Kong University Press, 2018), §1.6.2, “The senior ranks”, and §1.7.2, “The core execution team”.]. The ethnographic account describes the same layers from the inside and offers a less flattering reason for them: between vice president and managing director there are several “in-between” layers, such as senior vice president, principal or director, and part of their purpose is to slow the promotion of vice presidents to managing director, since managing directors guard the share of the bonus pool that comes with the rank[3Liquidated: An Ethnography of Wall Street (2009)Liquidated: AnEthnography ofWall StreetHoDuke University Press · 2009Source 3Karen Ho, Liquidated: An Ethnography of Wall Street (Duke University Press, 2009), ch. 2, “The White-Collar Sweatshop”, pp. 86–87.].

What the work is

A guide written for clients describes the rank plainly. Directors “are usually focused on very-high-level deal management and pitching clients”; by this point in their careers bankers are largely rainmakers, meaning people who bring in business, and are the primary contact for small and mid-sized clients. “At the director level, they are judged on their ability to bring in business”[4Mergers and Acquisitions Basics: The Key Steps of Acquisitions, Divestitures, and Investments (2017)Mergers andAcquisitions Basics:The Key Steps ofAcquisitions,Divestitures, andInvestmentsFrankel and FormanWiley · 20172nd ed.Source 4Michael E. How long it lasts

Employees generally stay a few years in each of the senior ranks[2IPO: A Global Guide (2018)IPO: A GlobalGuideEspinasseHong Kong University Press · 20183rd ed.Source 2Philippe Espinasse, IPO: A Global Guide, 3rd ed. The textbook gives four to ten years at the vice president level, or its equivalent, before promotion to managing director[1Investment Banks, Hedge Funds, and Private Equity (2017)InvestmentBanks, HedgeFunds, andPrivate EquityStowellAcademic Press · 20173rd ed.Source 1David P. The ethnography adds that most bankers never make it to managing director, whatever their tenure, and that the most commonly cited criterion is deal origination, being credited with bringing new deals to the firm[3Liquidated: An Ethnography of Wall Street (2009)Liquidated: AnEthnography ofWall StreetHoDuke University Press · 2009Source 3Karen Ho, Liquidated: An Ethnography of Wall Street (Duke University Press, 2009), ch. 2, “The White-Collar Sweatshop”, pp. 86–87.].

Frequently asked questions

Is a director higher than a vice president in investment banking?

Yes, at the firms that have the rank. Director, senior vice president and executive director all name a rung between vice president and managing director; other firms promote vice presidents straight to managing director[1Investment Banks, Hedge Funds, and Private Equity (2017)InvestmentBanks, HedgeFunds, andPrivate EquityStowellAcademic Press · 20173rd ed.Source 1David P. (Hong Kong University Press, 2018), §1.6.2, “The senior ranks”, and §1.7.2, “The core execution team”.].

Is a director in investment banking on the board of directors?

No. The title of director or executive director in a bank does not indicate board membership, which is why it is usually followed by the name of the department on a business card[2IPO: A Global Guide (2018)IPO: A GlobalGuideEspinasseHong Kong University Press · 20183rd ed.Source 2Philippe Espinasse, IPO: A Global Guide, 3rd ed. (Hong Kong University Press, 2018), §1.6.2, “The senior ranks”, and §1.7.2, “The core execution team”.].

What is the difference between a director and a managing director?

A director still manages deals at a high level and is judged on business brought in; a managing director is almost entirely focused on clients and on winning business, with only a modest share of time on deal management[4Mergers and Acquisitions Basics: The Key Steps of Acquisitions, Divestitures, and Investments (2017)Mergers andAcquisitions Basics:The Key Steps ofAcquisitions,Divestitures, andInvestmentsFrankel and FormanWiley · 20172nd ed.Source 4Michael E.
